1. Agreement to Terms
By accessing or using Center Your Patient (the “Service”), you agree to be bound by these Terms of Service (“Terms”). If you do not agree to these Terms, you may not use the Service. These Terms constitute a legally binding agreement between you and Center Your Patient, LLC (“Center Your Patient,” “we,” “us,” or “our”), a limited liability company established in Philadelphia, Pennsylvania.
2. Description of Service
Center Your Patient is a clinical reference tool delivered as a Chrome extension for licensed healthcare providers. The Service provides access to medication reference information, screening questionnaires, Mental Status Exam (MSE) templates, ICD-10 code lookup, session management tools, and related clinical reference features.
3. Important Disclaimers
PLEASE READ CAREFULLY
- Not a substitute for clinical judgment. Center Your Patient is a reference tool designed to inform clinical practice. It is NOT intended to supersede clinical judgment.
- No clinical recommendations. Center Your Patient does NOT make clinical recommendations. All clinical decision-making remains the sole responsibility of the treating provider.
- No Patient Health Information. Center Your Patient is NOT designed to hold or store Patient Health Information (PHI) of any kind. Users must not enter PHI into the Service.
- User responsibility. Users are solely responsible for all clinical decisions made in the course of patient care.
- Reference only. Information provided is for reference purposes only and should be verified against current clinical guidelines and prescribing information.
4. Eligibility
The Service is intended for licensed healthcare providers. By creating an account, you represent and warrant that you hold appropriate professional credentials and licensure to practice in your jurisdiction. Center Your Patient reserves the right to verify credentials and to terminate accounts that do not meet eligibility requirements.
5. Account Terms
- Each account is for a single individual. Accounts may not be shared among multiple people.
- You must provide accurate, complete, and current information during registration and keep your account information up to date.
- You are responsible for maintaining the confidentiality of your login credentials. You are responsible for all activity that occurs under your account.
- You must notify us immediately at centeryourpatient@gmail.com if you suspect unauthorized access to your account.
6. Subscription & Payment
- The Service is offered at $15.00 per month, billed monthly.
- All payments are processed securely through Stripe. By subscribing, you authorize Stripe to charge your payment method on a recurring monthly basis.
- You may cancel your subscription at any time from your account dashboard. Cancellation takes effect at the end of the current billing period. You will retain access to the Service until your paid period expires.
- No refunds are issued for partial months or unused portions of a billing period.
- We reserve the right to change pricing with at least 30 days' written notice. Continued use after a price change constitutes acceptance of the new rate.
7. Trial & Promotional Codes
From time to time, Center Your Patient may offer promotional or trial codes that provide temporary free or discounted access to the Service. Trial codes are subject to the following conditions:
- A valid payment method (card on file) may be required to activate a trial code.
- Upon expiration of the trial or promotional period, your subscription will automatically convert to the standard monthly rate unless you cancel before the trial ends.
- Trial codes are non-transferable and may be limited to one per user.
8. Acceptable Use
You agree not to:
- Reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code of the Service
- Share your account credentials with any other person or allow others to access your account
- Use the Service for any unlawful or unauthorized purpose
- Enter Patient Health Information (PHI) or other protected health data into the Service
- Reproduce, distribute, or resell the content or data provided by the Service
- Interfere with or disrupt the integrity or performance of the Service
- Use automated scripts or bots to access or interact with the Service
9. Intellectual Property
All content, features, functionality, code, design, trademarks, and data provided through the Service are owned by Center Your Patient, LLC and are protected by United States and international copyright, trademark, and other intellectual property laws. You may not copy, modify, distribute, sell, or lease any part of the Service without our prior written consent.
10. Limitation of Liability
THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, CENTER YOUR PATIENT, LLC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, ARISING FROM YOUR USE OF THE SERVICE.
IN NO EVENT SHALL OUR TOTAL AGGREGATE LIABILITY EXCEED THE AMOUNTS PAID BY YOU TO CENTER YOUR PATIENT, LLC IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.
CENTER YOUR PATIENT, LLC IS NOT LIABLE FOR ANY CLINICAL OUTCOMES, TREATMENT DECISIONS, OR PATIENT CARE RESULTS ARISING FROM USE OF THE SERVICE. ALL CLINICAL DECISIONS REMAIN THE SOLE RESPONSIBILITY OF THE TREATING PROVIDER.
11. Indemnification
You agree to indemnify, defend, and hold harmless Center Your Patient, LLC and its officers, directors, employees, agents, and affiliates from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your use of the Service; (b) your violation of these Terms; (c) your violation of any third-party rights; or (d) any clinical decisions or patient care provided by you.
12. Governing Law & Dispute Resolution
These Terms shall be governed by and construed in accordance with the laws of the Commonwealth of Pennsylvania, without regard to its conflict of laws provisions. Any disputes arising under or in connection with these Terms shall be resolved exclusively in the state or federal courts located in Philadelphia County, Pennsylvania, and you consent to the personal jurisdiction of such courts.
13. Severability
If any provision of these Terms is held to be invalid, unenforceable, or illegal by a court of competent jurisdiction, the remaining provisions shall continue in full force and effect. The invalid provision shall be modified to the minimum extent necessary to make it valid and enforceable while preserving its original intent.
14. Changes to Terms
We reserve the right to modify these Terms at any time. If we make material changes, we will notify you by email or by posting a prominent notice on the Service at least 30 days before the changes take effect. Your continued use of the Service after the effective date of any changes constitutes your acceptance of the revised Terms.
